Brief case summary: Our client filed an appeal against the resolutions to transform the companies forming a corporate group (the joint stock company was transformed into a limited liability company and the limited liability company became a joint stock company). The transformation procedures were intended to exclude the some of the shareholders from the transformed companies.

Our law firm argued that there were no economic grounds for transforming the companies and that the unlawful practices were aimed at removing the shareholders from the enterprise.

Our lawyers took legal action on the basis of the Polish Commercial Companies Code, Civil Code and the Code of Civil Procedure.

Amount in litigation: approx. PLN 210 million. Case status: final and legally binding judgements of appeal courts admitting the claim and a judgement of the Supreme Court dismissing the last resort appeal.
